1. Who you are contracting with

These Terms govern your use of Billman ("the Service"), provided by Aldrich Alvarez ("we", "us", "our"). By creating an account or continuing to use the Service, you agree to these Terms.

2. Authority and accuracy

You confirm that you have the authority to bind your organization (if signing up on its behalf) or that you are of legal age. You agree to provide accurate information and keep it up to date.

3. The Service

Billman is a billing workspace for managing clients, recurring fees, one-time charges, expenses, invoices and payments. We grant you a limited, non-exclusive, non-transferable right to use the Service within your selected plan.

4. Acceptable use

You agree not to misuse the Service. In particular, you must not:

• use the Service for unlawful purposes, fraud or spam;
• infringe intellectual property or privacy rights of others;
• upload malware, probe, scan or interfere with security;
• scrape, reverse engineer, resell or redistribute the Service;
• circumvent technical limits, quotas or access controls.

5. Your content and credentials

You retain ownership of the content you upload. You grant us a limited license to host and process that content solely to operate the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

6. Intellectual property

We retain all rights, title and interest in the Service, including its software, documentation and branding. No rights are granted except those expressly stated in these Terms.

7. Payments, billing and refunds

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation and refund mechanics are governed by Paddle's Buyer Terms and our Refund Policy.

8. Service level

We work hard to keep the Service available, but we do not guarantee uninterrupted or error-free performance. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

9. Suspension and termination

We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. On termination, you may export your data within a reasonable window before deletion.

10. Liability

To the fullest extent permitted by law, our aggregate liability is capped at the fees you paid in the 12 months preceding the claim. We are not liable for indirect, consequential or special damages, including loss of profits, data or goodwill. Nothing in these Terms excludes liability for fraud, death or personal injury where law requires otherwise.

11. Indemnity

You agree to indemnify us for claims arising from your content, unlawful use of the Service, or breach of these Terms.

12. Changes

We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the jurisdiction in which Aldrich Alvarez resides, without regard to conflict-of-laws rules.
